Terms of Use
Effective date: May 1, 2026
These Terms of Use govern your access to and use of Cmdless, a voice-first intent palette for macOS operated by Grid Heap, Inc. They are written specifically for Cmdless and do not combine terms for other Grid Heap products.
1. Acceptance and Eligibility
By using Cmdless, you agree to these Terms and the Cmdless Privacy Policy. You must be at least 13 years old if you reside in the United States, at least 16 years old if you reside elsewhere, and old enough to use the product under the laws where you live.
2. Product Scope
Cmdless helps you turn spoken or typed requests into previewable desktop actions across AI, files, notes, snippets, calendar, scripts, windows, shortcuts, and connected channels. Features may vary by platform, account status, provider route, plan, and enabled integrations.
3. Accounts and Security
Some features require an account, subscription, or provider configuration. You are responsible for your account credentials, provider keys, connected accounts, local device security, and activity under your account.
4. Your Content
You retain ownership of voice audio, transcripts, prompts, selected text, snippets, notes, files, workflow definitions, and other content you provide. You grant us the limited rights needed to process that content to provide, secure, maintain, support, and improve Cmdless and to follow your instructions.
5. AI, Voice, and Output
Cmdless may use transcription, large language models, shortcut compilation, and other automated systems. Output may be inaccurate, incomplete, delayed, unsafe, or unsuitable. You are responsible for reviewing transcripts, generated text, command previews, scripts, shortcuts, and connected-channel actions before relying on or executing them.
You must not claim that AI output was reviewed, approved, or guaranteed by Grid Heap unless we state that in writing.
6. Restrictions
You may use Cmdless only as permitted by law and these Terms. You must not:
- violate or bypass security, authentication, entitlement, rate-limit, billing, or access-control measures;
- reverse engineer, decompile, scrape, or access non-public parts of Cmdless except where the law expressly allows it;
- use Cmdless to infringe rights, mislead people, distribute malware, send spam, abuse notifications, or create unlawful content;
- run scripts, shortcuts, or connected-channel actions without the authority and review required for that action;
- record, transcribe, or process another person's speech where consent or another legal basis is required and you do not have it;
- resell, rent, sublicense, or operate Cmdless as a managed service unless we agree in writing.
7. Third-Party Services
Cmdless may rely on transcription providers, model providers, app stores, payment processors, connected channels, local system APIs, and optional integrations. Your use of those services is governed by their terms. We are not responsible for third-party services outside our control.
8. Product License and Software
Subject to these Terms and payment requirements, we grant you a limited, revocable, non-exclusive, non-transferable right to use Cmdless for your personal or internal business use. Client software may update automatically. Open source components remain governed by their licenses.
9. Paid Services
Cmdless paid access renews according to the terms shown at checkout, in the app, or in the relevant app store. Taxes, refunds, cancellations, trials, and renewals may be handled by the payment processor or app store. Subscription access may end if payment fails or the plan is cancelled.
10. Intellectual Property
Cmdless, its software, interface, documentation, trademarks, and related materials are owned by Grid Heap or its licensors. These Terms grant only the limited right to use Cmdless as permitted by these Terms.
11. Termination
You may stop using Cmdless at any time. We may suspend or terminate access if you violate these Terms, create risk for the platform, fail to pay, or if continued service is not legally or operationally feasible.
12. Warranty Disclaimers
Cmdless is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, exact transcription accuracy, and error-free output.
13. Limitation of Liability
To the maximum extent permitted by law, Grid Heap will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, business opportunities, local files, provider access, or connected-channel outcomes. Our aggregate liability is limited to the greater of the amount you paid for Cmdless in the twelve months before the claim or USD $100.
14. Indemnification
To the maximum extent permitted by law, you agree to indemnify and hold harmless Grid Heap and its officers, directors, employees, contractors, and agents from claims arising from your content, scripts, shortcuts, connected accounts, use of Cmdless, violation of these Terms, or violation of law or third-party rights.
15. Dispute Resolution
Before bringing a formal claim, contact us at legal@gridheap.com and try to resolve the dispute informally. If we cannot resolve it within 60 days, either party may start formal proceedings.
If you are a U.S. resident, claims will be resolved by individual binding arbitration administered by the American Arbitration Association, except for small claims matters and requests for injunctive relief related to intellectual property or unauthorized use. You and we waive class, representative, and consolidated proceedings to the maximum extent permitted by law.
16. Modifications and Governing Law
We may update these Terms from time to time. These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless applicable consumer protection law requires otherwise.
